General Terms and Conditions of Sale
Any purchase made on the website (hereinafter also, the "Website") is governed by these general terms and conditions of sale (hereinafter also, the "General Conditions") which Tessilform S.p.A. (hereinafter also, "Tessilform"), with registered office at Via P. Gobetti 7/9, Campi Bisenzio (FI), Italy, reserves the right to modify at any time, by publishing a new version on the Website.
Before finalizing any purchase, the Customer is required to read carefully these General Conditions that have been made available to him/her on the Website, in order to allow their storage and reproduction in compliance with Art. 12 of Legislative Decree 70/2003. The General Conditions which apply are those in force at the time when the order is placed. If you purchase a product on the Website, you accept these General Conditions in full, without reservation and/or exception.
Contracts concluded through the Website are governed by the Italian Civil Code and Chapter I of Title III of Part III of Legislative Decree of September 6, 2005, no. 206 (hereinafter also, the "Consumer Code"), with particular reference to contracts negotiated off-premises and distance contracts.
In these General Conditions, "Customer" means the Customer consumer individual who purchases the product for purposes unrelated to any commercial, entrepreneurial or professional activity he/she may carry out, which differs from the Customer professional legal entity, entrepreneur and any other person with a VAT number who purchases a good for professional purposes or for purposes related to his/her business.

Product information
Information about each individual product and its essential characteristics, made available in accordance with current regulations, is available on the Website and is made known to the Customer.
The product information provided on the Website is constantly updated. However, it is not possible to guarantee that this information is completely free of errors. The product images may not be perfectly representative of the product's characteristics and may differ in color, size, and accessory products represented. The product images on the Website are purely illustrative and are therefore not binding.
Tessilform reserves the right to correct errors, inaccuracies or omissions, even after an order has been submitted, and also reserves the right to change or update information at any time without prior notice to the Customer.

Placement and acceptance of orders
To place an order for the purchase of a Product on the Website, the Customer must be over 18 years of age. It is not necessary for the Customer to be a registered user. A customer who is not a registered user may place the order as a "guest." Having read and accepted the Privacy Policy and the aforementioned Terms and Conditions, the Customer must fill out, in its entirety, in electronic format, the order form containing the elements necessary for the identification of the Customer and of the products ordered. The Customer must select the desired payment method from the methods indicated on the Website, the type of shipment chosen according to the instructions on the Website, all under penalty of nullity of the order.
Fulfilled orders will be binding for Tessilform only after the Customer has received confirmation from us by email (hereinafter also, the "Order Confirmation") that the order process has been duly completed, the payment has been properly authorized and the products are available, in whole or in part, according to the quantities ordered. It is recommened that you print out the Order Confirmation and keep it. Customers who do not receive an Order Confirmation should contact us. If products are not available, after the completion of the order, the products will not be sent, the Customer will be notified and the amount paid will be fully refunded to the Customer. Tessilform will send the Customer a follow-up email when the product is shipped.
Tessilform reserves the right to refuse (by way of example and not limited to) orders from Customers with whom there is an ongoing dispute, even if this is still in the process of being defined, in the event of a breach of the General Terms and Conditions of Sale, in the event of repeated exercise of the right of withdrawal, and in any case if Tessilform considers the Customer, in its sole discretion, to be unsuitable for any reason whatsoever. In such cases Tessilform shall inform the customer by e-mail that the order has not been accepted, returning any sums already collected.

Terms and conditions of delivery
The Customer must choose one of the delivery terms offered on the Website. Delivery methods other than those listed are not permitted. The delivery terms listed in the delivery options indicate the period of time usually required to deliver the products.
Orders are delivered free of charge for all Customers who include one product at full price in their order, or who spend a minimum amount of 200.00 (two hundred/00) euros. The Customer may decide to pick up the product at a single-brand "Patrizia Pepe" store, without having to pay shipping charges.
Delivery of orders will be made by courier to the place indicated by the Customer at the time of placing the order to purchase the product. The maximum delivery time, except for events attributable to the courier or to third parties and which are therefore outside of the control of Tessilform, is estimated at 15 business days for deliveries in Italy and 30 business days for deliveries outside of Italy.
Tessilform assumes no liability arising from damage, theft or loss of the goods during transport, since these are events whose effects are borne by the Customer and/or the carrier at the time of delivery of the goods. It shall be the Customer's responsibility to make claims and/or to bring actions against the carrier or the carrier's insurance company.
Tessilform accepts no liability for any delay in delivery if such delay or lack of delivery is attributable to force majeure such as, but not limited to: third-party strike actions, terrorism, war, natural disasters, adverse weather conditions, pandemics (hereinafter also, "force majeure"). In these cases, Tessilform will contact the Customer as soon as possible to report the problem and will take all necessary measures to minimize the effect of the delay.

When payment is made by 2 p.m. on the day the order is placed.

Deliveries: orders with standard shipping will by delivered by UPS or TNT or a similar courier, while orders with express shipping will be delivered by DHL or a similar courier. If you wish to receive your order by express delivery, you must select express delivery during checkout. If the user has entered an incorrect delivery address which caused the order not to be delivered, the package will be returned to Tessilform. Tessilform cannot be held responsible for the delay or the non-delivery of an order if this is due to force majeure or is otherwise caused by events beyond its control.

Terms and conditions of payment
The prices applied to the products ordered are the prices in effect on the day the purchase order is issued. The price of each individual product is indicated on the page dedicated to it in the catalog and includes VAT and any other taxes, but does not include shipping costs. Shipping costs are indicated during the purchase process and will vary depending on the shipping location selected. All costs related to shipping can be found under "shipping" at the footer of the page on the website.
The Customer must choose one of the payment terms offered on the Website. Payment methods other than those listed are not permitted. The Customer may choose from the following payment methods: Visa, MasterCard, Scalapay, Satispay, Amazon Pay, PayPal, Union Pay, cash on delivery. The aforementioned payments are subject to authorization by the companies providing the service. If Tessilform does not receive payment authorization, the order will be automatically canceled and notification will be sent via email that the order was unsuccessful.
For cash on delivery, payment is made to the courier upon delivery of the purchased product. An additional amount of 5.00 (five/00) euros for orders shipped to Italy, and an additional amount of 8.00 (eight/00) euros for orders shipped outside of Italy must be added to the amount of the product and shipping, as a fee for the cash on delivery payment. Payment must be made directly to the courier, and may only be made with banknotes or coins. Only exact amounts, corresponding to the amount of the order, will be accepted: the courier cannot provide change. Bank or cashier's checks will not be accepted. Cash payments will be accepted only if they are within the legal threshold.

Online payment methods
For security reasons, your payment by credit card/PayPal is made through a Virtual POS operated directly by the relevant credit institution. We do not have access to your credit card information. The website through which the transaction takes place meets SSL security standards and the bank that issued your credit card is responsible for the transmission of your credit card information.

Right of withdrawal and effects
The right of withdrawal referred to in this article and in the following paragraph is reserved exclusively for the Consumer Customer and not for the Professional Customer, in accordance with the regulations in force.
Under the Consumer Code, for purchases of products made via the Internet or off-premises, the Consumer Customer may always exercise the right of withdrawal, without penalty and without having to provide any justification, within a period of 14 (fourteen) calendar days from the delivery of the good (or the delivery of the last good for multiple orders).
To exercise the right of withdrawal, the Customer must give us notice of his/her intention by following the procedure described in in the Returns section.
In the event of a return, the procedure specified in the Returns section will be necessary and the goods must be sent back to Tessilform and entrusted to the courier within 14 days from the date of receipt of the order. In both cases, the postmark will be used as proof.
We also inform you that returns for which the online return procedure will be entered within the specified timeframe, but which will be sent after 14 days from receipt, will not be accepted.
In any case, the Customer must return the product intact without signs of use, with its identification tag, label and warranty seal, in its original packaging, with the corresponding transport and purchase documents.
The return shipment of the product will be entirely borne by Tessilform, provided that you follow the return procedure indicated in the appropriate section. If the return has been made in accordance with the above and the merchandise has been received and verified by us, Tessilform will issue a refund of the amounts paid by the same payment methods chosen for the purchase procedure, within a maximum of 14 (fourteen) days from when Tessilform became aware of the withdrawal (date of receipt of the withdrawal form).
Payments made by cash on delivery will be reimbursed with a different payment method, which will be agreed between Tessilform and the Customer.
Tessilform will notify the user of the status of the return in all its stages: the receipt of the returned products and the acceptance thereof.
The right of withdrawal is excluded if the purchased products are custom-made or personalized. The right of withdrawal is also excluded if the warranty seal has been removed from the product, which constitutes an alteration of the substantial integrity of the product. Refunds will be not be made for products returned without the warranty seal.
Upon implementation of the procedure referred to in this article, total or partial orders can also be returned at one of our Patrizia Pepe single-brand stores by taking the products to be returned to the store of your choice.

E-commerce orders return terms
Goods must be returned in their original packaging. Only the label generated when requesting a return on the website or found directly inside the package and shipped with TNT, UPS or DHL – depending on the courier specified on the label – should be affixed to the package.
The website return request procedure (by accessing the Order Status section) is mandatory in order to receive a refund and must be carried out for each order. The return label used must be exclusively the one associated with the order number for which the return is being made.
Returns related to orders generated on different dates cannot be made within a single cumulative shipment.
Once the return has arrived in our warehouses, should the label used not be the one corresponding to the order for which the return was requested, Patrizia Pepe reserves the right not to accept the return and therefore not to issue the relevant refund, as it will not be possible to ensure the correct and full return of the garments.

Legal Guarantee
Tessilform Spa guarantees that the products sold on the Website are free from defects and flaws and comply with the applicable Italian and European Union (EU) standards.
All products sold by Tessilform Spa to the Consumer Customer are covered by the legal guarantee for 24 (twenty-four) months from the date of delivery of the goods, as provided for apparent defects pursuant to and in accordance with Articles 128 et seq. of the Italian Consumer Code and as amended.
In order to initiate the procedure for verification of the apparent defect, the Consumer Customer must contact Customer Care by using one of the appropriate contact methods in the "Customer Care" section and must provide a copy of proof of purchase of the product (receipt/invoice or cash register receipt) and any additional documents required for certifying the possible shipment and delivery of the product.
After receiving the report on the apparent defect of the purchased product, Tessilform Spa will activate the procedure for the return of the goods, in which we will bear the transport costs related to the returned goods, or for which a refund has been requested, if the quality department has determined that the goods are defective.
The Customer must follow the mandatory instructions received from Tessilform Spa and must return the defective goods in the original packaging and intact in all its parts, bearing the guarantee seal, under penalty of not having the product replaced or not receiving a refund of the sums paid.
After receiving the "defective" goods and determining the defects, Tessilform Spa will either replace the product or issue a refund of the sums paid by the Customer, as agreed with the Customer.
If the purchased product is defective, the Consumer Customer has the right to the remedying of the defect or the termination of the sales contract on the basis of the conditions established by Articles 135-bis, 135-ter and 135-quater of the Italian Consumer Code.
The legal guarantee does not apply if the damage was caused by the Consumer Customer, or if the Consumer knew of or could have easily recognized the defect in the product at the time of purchase, unless, in this case, the seller has declared that the product was free from defects; or, again, if the defect results from instructions or materials provided by the Consumer Customer. The legal guarantee does not cover damage to and/or defects in the product caused by negligence, misuse or improper use, or normal wear and tear of the product by the Consumer Customer.

Applicable law and place of jurisdiction
All orders accepted by Tessilform are deemed to have been placed in Italy and these General Conditions are subject to and interpreted exclusively under Italian law.
For contracts with the Consumer Customer, any dispute regarding the validity, interpretation and execution of these General Conditions shall be subject to the mandatory territorial jurisdiction of the Court of the place of residence or domicile of the Consumer, if located in Italy, otherwise, for Consumers outside of Italy, the Court of Florence shall have exclusive jurisdiction.

Final provisions
If one or more of the provisions of these General Conditions should be deemed invalid or should otherwise be ineffective or unenforceable, this shall not result in the invalidity of these General Conditions as a whole or in the invalidity of the remaining provisions, all of which shall continue to remain in full force and effect.
Any forbearance of either Party to acts or omissions of the other Party which are in violation of the provisions of these General Conditions shall not be construed as a waiver of its rights under the violated provisions nor of its right to demand their exact performance and compensation for damages, if any.
